Agreement to Terms
By downloading, installing, or using MeetingMemo ("the Application"), a native macOS application developed by Aleksandr Shelestov PR JustOneDev, based in Belgrade, Serbia ("we", "us", "JustOneDev"), and distributed through the Mac App Store, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Application.
Because the Application is delivered through the Mac App Store, your use is also governed by Apple's Licensed Application End User License Agreement ("Apple's EULA"). In the event of a conflict between these Terms and Apple's EULA, Apple's EULA controls with respect to the Mac App Store distribution, and these Terms apply to all other matters.

License
MeetingMemo is licensed, not sold. For the duration of an active subscription or free trial obtained through the Mac App Store, JustOneDev grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the Application on any Mac that you own or control, in accordance with the Mac App Store rules and Family Sharing
- Use the Application for personal or commercial purposes
- Receive updates to the Application via the Mac App Store as they become available
Restrictions
You may not:
- Copy, modify, or distribute the Application
- Reverse engineer, decompile, or disassemble the Application, except to the extent this restriction is prohibited by applicable law
- Rent, lease, lend, sell, or sublicense the Application
- Use the Application to develop competing products
- Remove or alter any proprietary notices or labels
Your Content & Recording Responsibility
You retain full ownership of all content you create using MeetingMemo, including recordings, transcripts, summaries, and action items. Your data is stored on your device (and, if you enable it, synced through your own private iCloud), so you are solely responsible for:
- Backing up your data and securing your device and files
- Obtaining any consent required to record a conversation, and complying with the recording, wiretap, and privacy laws that apply to you and to every other participant. Many jurisdictions require the consent of one, some, or all parties before a conversation may be recorded. Determining and obtaining the consent you need is your responsibility, not ours.
- Your use of any cloud AI provider you choose, including that provider's terms and how it handles the transcript you send it
- Ensuring your content and your use of the Application comply with applicable laws
AI Features & Third-Party Providers
The Application's AI features (summaries, action items, transcript polishing, and chat) are optional and require you to connect your own account with a third-party cloud AI provider using your own API key. Your use of that provider is governed by your agreement with it, and you are responsible for any fees it charges and for the content you send it. When these features are enabled, only the text transcript (not your audio) is sent, directly to the provider you chose; we do not proxy, route, or store these requests.
AI- and machine-generated output, including transcripts, summaries, and action items, may be inaccurate, incomplete, or misleading. You are responsible for reviewing and verifying any output before relying on it, and you should not treat it as the sole record of a conversation or as professional, legal, medical, or financial advice.
Acceptable Use
You agree not to use the Application for any unlawful purpose, to record anyone without the consent the law requires, to infringe the rights of others, or in any way that violates the Mac App Store rules or applicable law. You are responsible for all activity conducted through your copy of the Application.
Subscription, Billing & Refunds
MeetingMemo is offered as an auto-renewable subscription through the Mac App Store: a 30-day free trial, then $19 per year. Unless cancelled at least 24 hours before the end of the current period, the subscription renews automatically and your Apple ID is charged for renewal. You can manage or cancel your subscription any time in your App Store account settings. Prices are shown in your local currency and may include applicable taxes. Family Sharing covers up to 6 members.
All payments are processed by Apple. Refund requests are handled by Apple under their refund policy. We are unable to issue refunds directly because we never receive your payment information.
Updates
We may release updates to the Application from time to time. These updates may include bug fixes, new features, or security improvements. All updates are delivered through the Mac App Store. We may also add, change, or remove features over time. We are not obligated to maintain any particular feature indefinitely.
Intellectual Property
The Application, including its software, design, and the MeetingMemo name and logo, is owned by JustOneDev and protected by intellectual property laws. Except for the limited license granted above, these Terms do not transfer any right, title, or interest in the Application to you. Third-party components and the services of any cloud AI provider you connect remain the property of their respective owners.
Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
We do not warrant that the Application will be error-free or uninterrupted, that transcripts or AI output will be accurate or complete, or that the Application will be free of harmful components. You use the Application at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTONEDEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION.
Our total liability for any claims arising from these Terms or your use of the Application shall not exceed the amount you paid for the Application in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless JustOneDev from any claims, damages, liabilities, and expenses arising out of your use of the Application, your content, your recordings and any consent you failed to obtain, or your violation of these Terms or of applicable law.
Apple App Store Terms
The following terms apply because the Application is distributed through the Mac App Store:
- These Terms are between you and JustOneDev only, and not with Apple. Apple is not responsible for the Application or its content.
- JustOneDev, not Apple, is solely responsible for providing any maintenance and support for the Application. Apple has no obligation to furnish maintenance or support.
- In the event the Application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Application.
- JustOneDev, not Apple, is responsible for addressing any claims relating to the Application, including product liability claims, claims that the Application fails to conform to a legal or regulatory requirement, and consumer-protection or privacy claims.
- In the event of a third-party claim that the Application or your use of it infringes that party's intellectual property rights, JustOneDev, not Apple, is responsible for the investigation, defense, settlement, and discharge of any such claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
Termination
These Terms remain in effect until terminated. Your license to use the Application terminates automatically if your subscription lapses or if you fail to comply with any of these Terms. Upon termination, you must cease all use of the Application and delete all copies from your Mac. Your locally stored recordings, transcripts, and notes remain on your Mac and are not affected by termination.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Application after changes constitutes acceptance of the modified Terms.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law principles. Subject to Apple's EULA where it applies, and to any mandatory consumer-protection rights you may have in your country of residence, you agree that the courts of Belgrade, Serbia, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Application.
Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy and Apple's EULA, constitute the entire agreement between you and JustOneDev regarding the Application and supersede any prior agreements on that subject.
